These Terms of Service ("Terms") govern your use of the website www.szgoldy.com (the "Site") and any orders placed with Shenzhen GDF Printing Manufactory Co., Ltd. ("GDF Printing", "we", "us", or "our"). By accessing our Site or placing an order, you agree to be bound by these Terms.

1. Acceptance of Terms

By using this Site, submitting inquiries, requesting quotations, or placing orders, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, please do not use our Site or services.

2. Business Use

Our products and services are intended for Business-to-Business (B2B) transactions. By placing an order, you represent that you are acting in a commercial capacity and have the authority to bind your company to these Terms.

3. Quotations and Pricing

  • All quotations are valid for 30 calendar days from the date of issue unless otherwise stated in writing.

  • Prices are quoted in USD unless otherwise specified.

  • Quoted prices are based on the specifications (size, material, quantity, finish) provided by the client. Any change to specifications after quotation may result in a price adjustment.

  • Quotations do not include import duties, taxes, customs clearance fees, or local delivery charges unless explicitly stated.

  • We reserve the right to correct any pricing errors or omissions, even after an order has been placed.

4. Orders and Minimum Order Quantity (MOQ)

  • Standard MOQ is 500 pieces per SKU unless otherwise agreed in writing.

  • Orders are confirmed only upon receipt of a signed Proforma Invoice (PI) and the required deposit payment.

  • We do not accept returns or cancellations once production has commenced.

5. Artwork, Proofs, and Approval

  • Clients are responsible for providing accurate artwork files in vector format (AI, PDF, EPS) with at least 300 DPI resolution.

  • GDF Printing will provide a digital proof (and, where requested, a physical sample) for client approval before mass production.

  • Production will not commence until the client has given explicit written approval of the proof.

  • GDF Printing is not liable for errors (spelling, color, layout) that were present in the approved artwork or proof.

6. Color Accuracy and Printing Tolerances

  • We strive to match client-approved proofs as closely as possible. However, due to the nature of paper, ink, and printing processes, a tolerance of ±5% color variation (Delta E) is considered acceptable.

  • Colors displayed on digital screens (RGB) may differ from printed output (CMYK). Pantone (PMS) matching is available upon request at an additional cost.

  • Metallic, neon, and fluorescent colors cannot be accurately reproduced via standard CMYK printing.

7. Payment Terms

  • A 30% deposit is required to commence production. The remaining 70% balance must be paid in full before shipment.

  • Accepted payment methods: Bank Wire Transfer (T/T), PayPal (for samples only), and Letter of Credit (L/C) for orders above $10,000 USD.

  • Late payments may result in production delays or order cancellation. Storage fees may apply for completed orders not collected within 15 days of completion.

8. Production and Delivery Timeline

  • Standard production lead time is 15–20 business days after artwork approval and deposit receipt.

  • Sample lead time is typically 3–7 business days.

  • Lead times are estimates and may be affected by raw material availability, public holidays (e.g., Chinese New Year), or force majeure events.

  • GDF Printing is not liable for delays caused by third-party carriers or customs clearance.

9. Shipping and Freight

  • Shipping terms default to EXW Shenzhen unless otherwise agreed. Alternative Incoterms (FOB, CIF, DDP) are available upon request.

  • Risk of loss or damage transfers to the client upon handover to the carrier.

  • The client is responsible for providing accurate shipping addresses and import documentation.

  • GDF Printing is not responsible for customs delays, import duties, or seized shipments due to incorrect declaration.

10. Inspection and Claims

  • Clients should inspect goods upon receipt. Any claims for damage, shortage, or defect must be reported within 7 business days of delivery.

  • Claims must be accompanied by clear photographic evidence and a written description of the issue.

  • GDF Printing reserves the right to inspect disputed goods before issuing a replacement or refund.

11. Intellectual Property

  • All artwork, designs, die-lines, and structural drawings created by GDF Printing remain the intellectual property of GDF Printing unless otherwise agreed in writing.

  • Clients warrant that their submitted artwork does not infringe upon any third-party intellectual property rights (trademarks, copyrights, patents).

  • GDF Printing will not reproduce or share client-specific designs, logos, or products without prior written consent.

12. Confidentiality

GDF Printing agrees to keep all client information—including product specifications, pricing, business plans, and trade secrets—strictly confidential. We will not disclose such information to any third party without the client's written authorization.

13. Limitation of Liability

  • To the maximum extent permitted by law, GDF Printing's total liability for any claim arising out of or relating to these Terms shall not exceed the total amount paid by the client for the specific order giving rise to the claim.

  • GDF Printing shall not be liable for any indirect, incidental, consequential, or punitive damages, including but not limited to loss of profits, loss of business, or loss of reputation.

14. Force Majeure

GDF Printing shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to: natural disasters, fires, floods, pandemics, government actions, strikes, raw material shortages, or transportation disruptions.

15. Governing Law and Dispute Resolution

  • These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China.

  • Any dispute arising from these Terms shall first be attempted to be resolved through friendly negotiation. If negotiation fails, the dispute shall be submitted to the Shenzhen Court of International Arbitration (SCIA) for arbitration in accordance with its rules.

16. Amendments to Terms

GDF Printing reserves the right to update or modify these Terms at any time. The revised version will be posted on this page with an updated "Last updated" date. Continued use of the Site or services after such changes constitutes acceptance of the new Terms.
